1. Definitions

Services: All advertising and marketing services, including digital campaigns, Meta/Facebook Ads, consultancy, reporting, and any associated work provided by Flintstone.

Leads: Prospective clients or customers expressing interest via forms, calls, or other tracking methods agreed for a campaign.

Material: Content, data, or assets provided by the Client or created by Flintstone for the campaign.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a contract.

You confirm authority to act on behalf of any business represented.

3. Services and Performance Guarantee

Flintstone will provide Services in accordance with the contract or website description.

Performance Guarantee: If within 60 days of campaign start, the campaign does not generate at least 5 new leads, the Client may request a full refund of the service fee. Ad spend is excluded from the refund.

To claim the refund, the Client must submit a written request within 10 business days following the 60-day period.

The guarantee is conditional on the Client providing timely approvals, accurate information, and cooperation with Flintstone’s campaign guidance.

4. Client Responsibilities

Provide accurate and complete information.

Maintain security of passwords or account credentials and notify Flintstone of unauthorized use.

Follow instructions and promptly approve campaign materials or deliverables.

Ensure all marketing activity complies with UK laws, including advertising, GDPR, and data protection laws.

5. Fees and Payment

Service fees are as per the contract.

Fees are payable in advance unless otherwise agreed.

Flintstone may suspend services if payment is not received.

Refunds under the Performance Guarantee exclude ad spend and third-party costs.

6. Intellectual Property Rights

Flintstone retains all intellectual property rights in campaign materials, strategies, templates, and content we create.

The Client grants Flintstone a non-exclusive, worldwide, royalty-free license to use Client-provided Material for service delivery.

Clients may not reproduce or distribute Flintstone materials without written permission.

7. Confidentiality

Both parties must keep confidential any business-sensitive or personal information obtained during the engagement.

Confidentiality survives the termination of this Agreement.

8. Your Use of the Website

You agree not to use the Website for unlawful purposes or interfere with Flintstone’s operations.

Prohibited actions include hacking, scraping, spamming, or posting offensive content.

9. Data Protection and Privacy

Flintstone will process personal data in accordance with GDPR and UK data protection law.

Our Privacy Policy describes how we collect, use, and store information.

10. Disclaimers and No Guarantees

Flintstone makes no guarantee of revenue, sales, or profits beyond the Performance Guarantee.

Campaign results may vary depending on client industry, market conditions, and other factors outside Flintstone’s control.

Flintstone does not provide legal, tax, or accounting advice.

11. Limitation of Liability

Flintstone’s liability for any claim arising from our Services is limited to the total service fee paid.

Flintstone is not liable for indirect, incidental, or consequential losses.

Nothing limits Flintstone’s liability for death or personal injury caused by negligence, or for fraud.

12. Indemnification

The Client agrees to indemnify Flintstone against claims, losses, or expenses arising from the Client’s breach of these Terms, misuse of Services, or violation of laws.

13. Termination

Either party may terminate with 30 days’ written notice.

Flintstone may terminate immediately for breach of these Terms.

Upon termination, the Client remains liable for outstanding payments.

14. Force Majeure

Flintstone is not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, strikes, or government actions.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales.

Parties must first attempt to resolve disputes amicably.

If unresolved, disputes may be submitted to the courts of England and Wales.

16. Changes to Terms

Flintstone may update these Terms at any time.

Continued use of Services constitutes acceptance of updated Terms.

17. Severability

If any provision is deemed invalid, the remainder remains enforceable.

18. Entire Agreement

These Terms, along with the Privacy Policy and any service contract, constitute the entire agreement.
